JOB PURPOSE

Responsible for handling all legal issues pertaining to Family Office  and provide support and guidance to the Family Office on areas of Debt/Capital Market./Funding and Investments. Creating a system for long term sustainability of the initiative,

Providing support and legal advice to management in arbitrations, Litigations and drafting agreements etc.,

Key Performance Indicators

Litigation Management: Providing support and legal advice to management in arbitrations or legal disputes

  • No of Litigations support

Setting internal governance policies and management of Intellectual Property Rights. Monitoring IPR and initiating legal recourse wherever necessary

  • Plan Vs Actual

Debt/Capital Market/Funding/Investments and on a case by case basis depending on the need will be involved in transactions such as equity, bids,  restructuring, M&A, divestiture, share acquisitions, etc.,

Giving legal advice on any  issues that may be referred

Handling such transactions as mentioned above which  includes preparation/vetting of initial documents such as NDAs, MOU/letter of intent/term sheet etc.; review of relevant existing agreements (if any); opinions of any key issue; negotiation of the key terms with the other party; drafting/review, negotiation and finalization of the definitive transaction documents etc.

  • Quality (absence of mistakes, foresightedness, business relevant suggestions etc.)
  • Turn-around time / meeting the timelines

Review of title documents in case of acquisitions and advising management on mitigation plans.

Periodical review of title status of real estate investments and intiating proactive actions in consultation with business teams for protecting properties from encroachments.

Negotiating and Drafting agreements that minimize risks and maximize legal rights
 

  • Plan Vs Actual

Identify and drive key initiatives including development of systems and SOP’s for effective transactions.

During any transaction periodically highlight to management on improvement opportunities, and after it has been concluded create a learning document with respect to each transaction.

Education : LLB/ LLM

RELEVANT EXPERIENCE
  • 8-10 years overall experience with relevant exposure in Corporate Legal Function
  • Should have worked in large Manufacturing / Regulatory Industries / Infrastructure
  • Exposure both in Corporate as well as Legal Firm would be apt
