JOB PURPOSE
Handling legal issues with respect to bids, new business propositions, project financing and strategic transactions (including JVs, equity and debt transactions). The role involves providing legal support on complex, high-value infrastructure projects including long-term concession arrangements, with a strong focus on risk identification, mitigation and value protection.

Junior Manager-Legal will report to AVP-Legal.
KEY ACCOUNTABILITIES

| To provide legal assistance with respect to financing transactions including project finance, refinance and other financial documents | Timely closure of transactions. |
| To support drafting, review, negotiation and finalization of commercial, service, consultancy, lease and license agreements and other contracts, including Shareholders’ Agreements (SHA), Share Purchase Agreements (SPA), Joint Venture | Risk mitigating legal structuring |
| To provide legal support for sector-specific contracts, MOUs and operational agreements. | Timely closure of transactions.

| Development and maintenance of contract templates and checklists and active involvement in contract lifecycle management and ensuring compliance | Timely closure of transactions. |
| To provide legal assistance in bidding processes and project documentation (including RFPs, RFQs, concession agreements and related bid documents) for domestic and international projects, including legal review, risk allocation and deviation analysis | Timely closure of transactions. |

EDUCATION QUALIFICATIONS
LLB minimum.
RELEVANT EXPERIENCE
3–8 years of relevant experience in contracts, corporate law and transactional work.
Experience in handling:
- Financing and project finance transactions (debt and equity)
- Equity transactions including SHA, SPA, JVA, etc.
- Bidding and infrastructure project documents (RFP, RFQ, concession agreements, EPC, etc.)
- Commercial contracts including service, consultancy, lease and license agreements
Cross-border transactions and regulatory compliance (including RBI / FEMA)
