JOB PURPOSE

  • Merger and Acquisition
    • Preparing business projection including financial models for various businesses to ascertain the business valuation.
    • Administering the divestment process including financial modeling, valuations and due diligence process
    • Spearheading negotiations or discussion by ensuring commercial understanding is well captured in any legal document such as Shareholder’s Agreement, License Agreement & Share Purchase Agreement etc.
  • Regulatory
    • Preparation and auditing of various regulatory models for DIAL
    • Correspondence management with AERA.
    • Regulatory filings for DIAL
    • Determination of rate cards for DIAL.
    • Support in legal matters related to regulatory for DIAL
    • Auditing of regulatory models for GHIAL as well as AERO related joint venture companies at Delhi & Hyd.
    • Providing regulatory related support to GHIAL as well as various AERO related joint venture companies at Delhi & Hyd.
    • Review of various consultation papers issued by AERA for various other Airport or related entities.
    • Coordination and support in ACI related matters.
  • Joint venture & corporate integration
    • Comparing the current and historical data, analyzing the numbers, noting any unusual fluctuations between years to normalize the current and historical financial results
    • Evaluation of various corporate restructuring and tax efficient proposals
    • Providing support to CFO in supervising GMR Aviation business including divestment of assets.
    • Financing for various Joint Venture companies
    • Preparation of business models.

Coordination with statutory authorities like AERA, AAI etc. for regulatory related matters.

Coordination with various delegates viz. Airport Council International (ACI) etc.

Attending stakeholder meetings at AERA.

INTERNAL INTERACTIONS

Internal -

Coordination with JV team as well as SPVs for various data requirement and documentation.

Coordination with legal and secretarial team for definitive documentation for the transaction.

Coordination with DIAL & GHIAL finance team for various JV as well as regulatory information requirement

Coordination with GMR Aviation team for business monitoring and control.

In touch with higher management including BCMO, GCMO as well as CCM office.

Coordination with various delegates viz. Airport Council International (ACI) etc.

 

Attending stakeholder meetings at AERA.

 

FINANCIAL DIMENSIONS

  • Regulatory filing for Delhi Airport & Hyderabad Airport. Ensuring AERO revenues for both the Airports. Top line for both Airport put together is around Rs. 3000 cr. pa.
  • Recently supported in refinancing of existing loan of DAPS to the tune of Rs. 150 Cr. Also in discussion with lenders for refinancing of Hotel as well as GMR Aviation loan of Rs. 140 Cr. and Rs. 80 cr respectively.
  • Divestment of 3 Aviation assets. Total divestment amount was around Rs 250 Cr.
  • Handled following M&A transactions:

Duty Free

Acquisition of JV partner stake for around Rs. 100 Cr.

F&B

Divestment of DIAL stake in one of F&B JV Rs. 20 Cr (including realization of long outstanding amounts)

Greenfield Cargo

Divestment of DIAL stake in cargo JV. The deal size was around Rs. 60 cr. (including realization of long outstanding to the tune of Rs. 30 Cr)

Acquisition of JV partner stake in our DIAL car park JV by GIL Singapore

Total deal size was Rs. 63 Cr.
